Hello and welcome to Bessie Writes Copy (Pty) Ltd. I'm Bessie Moloi, and I'm glad you're here.

These Terms and Conditions govern your use of our website at bessiewritescopy.com and your engagement with our services. By accessing our website, enquiring about our services, or entering into a service agreement with us, you agree to be bound by these terms. Please read them carefully — they protect both of us and set the foundation for a productive working relationship.

1. About Bessie Writes Copy

Bessie Writes Copy (Pty) Ltd is a Johannesburg-based digital marketing support business providing done-for-you content creation, digital marketing execution support, and business growth system services to coaches, consultants, and service-based businesses across South Africa and internationally.

Our three core service offerings are:

Content Flow System — done-for-you monthly social media content packages

FlowAssist — ongoing digital marketing execution and VA support retainers

FlowSuite — white-label all-in-one business growth platform setup, onboarding, and management

We may also offer digital products, templates, educational resources, and online courses from time to time. Where additional specific terms apply to those offerings, they will be communicated at the point of purchase.

These Terms and Conditions apply to all of the above unless a separate written agreement has been entered into, in which case that agreement governs.

2. Services and Deliverables

The precise scope of work, specific deliverables, pricing, timelines, and any special conditions for your engagement will be set out in a Proposal or Service Agreement issued to you before work commences. Once accepted by you in writing or by payment of a deposit, that Proposal or Service Agreement forms part of and is subject to these Terms and Conditions.

2.1 Content Flow System

The Content Flow System is a monthly recurring content service. Each plan includes the deliverables specified on our website and in your service agreement. Delivery timelines, revision rounds, and add-on options are as specified in your plan details. Month-to-month billing applies unless otherwise agreed.

2.2 FlowAssist

FlowAssist is a monthly retainer service. Hours are allocated at the start of each billing cycle against an agreed task list. Unused hours do not roll over to the following month. The scope of tasks is agreed monthly and may be adjusted at the start of a new billing cycle with written notice.

2.3 FlowSuite

FlowSuite is a white-label business growth platform built on Go High Level. By subscribing to a FlowSuite plan you acknowledge and agree to the following:

• Access to your FlowSuite sub-account is contingent on your monthly subscription remaining active and payments being made on time

• The once-off setup fee is non-refundable as it covers professional configuration, integrations, and onboarding time already invested

• If your monthly subscription lapses or is cancelled, access to your FlowSuite sub-account may be suspended or terminated

• Data stored in your FlowSuite sub-account remains your property. Upon termination you have 14 days to export your data before the sub-account is deactivated

• FlowSuite is powered by Go High Level. While we make every effort to ensure platform availability, we cannot guarantee uninterrupted access as this is dependent on Go High Level's infrastructure

2.4 Delivery Timelines

Delivery timelines are agreed before work begins. We always strive to meet our commitments. However, timelines may be affected by the complexity of the project, the scope of revisions, or your responsiveness in providing necessary feedback, approvals, and materials.

Delays caused by late provision of information, feedback, or required assets by the client may result in a revised delivery timeline at no additional cost to Bessie Writes Copy. If client unresponsiveness extends beyond 30 days, we reserve the right to pause the project, revise the timeline, or terminate the agreement as set out in Section 9.

3. Payment Terms

3.1 Recurring Monthly Services

Content Flow System and FlowAssist plans are billed monthly in advance on a recurring basis. The first payment is due before work commences. Subsequent payments are due on the same date each month.

FlowSuite monthly subscription fees are due in advance on a recurring basis. The once-off setup fee is due before the platform build commences.

3.2 Project-Based Work

For project-based engagements with a value above R5,000, a 50% non-refundable deposit is required upfront to secure your position in our schedule and initiate work. The remaining 50% is due upon delivery of final deliverables as defined in your service agreement.

For project-based engagements below R5,000, full payment may be required upfront as specified in your proposal.

3.3 Digital Products

Where digital products such as templates, guides, or downloadable resources are offered, full payment is required at the time of purchase. Access is granted upon successful payment confirmation.

3.4 Courses and Educational Products

Where online courses or educational memberships are offered, payment is due in full upon registration unless a specific payment plan is offered and selected. Refund terms for courses are set out in Section 4.

3.5 Payment Methods

We accept payment via Electronic Funds Transfer (EFT) and card payment via Paystack. Payment details will be provided on your invoice. By making a payment you confirm that you are authorised to use the payment method provided and that all billing information is accurate.

3.6 Late Payments

Invoices are due by the date specified. If payment is not received by the due date, a reminder will be issued. If payment remains outstanding for more than 7 days past the due date, Bessie Writes Copy reserves the right to suspend all work on your project or access to services until payment is received in full.

Outstanding invoices are subject to a late payment fee of 5% of the outstanding balance per month until settled. Continued failure to pay may result in termination of services and referral for debt collection. All costs associated with debt collection, including legal fees, are for the account of the client.

4. Refund Policy

4.1 Monthly Recurring Services

Content Flow System and FlowAssist retainers are non-refundable once the billing cycle has commenced and work has begun. You may cancel before the next billing cycle with written notice as set out in Section 9. No partial refunds are issued for unused portions of a current billing cycle.

4.2 FlowSuite Setup Fees

FlowSuite setup fees are non-refundable. They cover professional configuration, onboarding, and setup time invested on your behalf before the platform is handed over to you.

4.3 Project-Based Services

Deposits and payments made for project-based services are non-refundable once work has commenced, due to the time, expertise, and resources invested from the outset. If you choose to terminate a project mid-way, you remain liable for payment for all work completed to the date of termination as set out in Section 9.

4.4 Digital Products

All digital product sales are final. Once purchased and access is granted, refunds are not available. Please review product descriptions carefully before purchasing.

4.5 Courses and Educational Products

Where online courses are offered, refunds are available if requested in writing to [email protected] within 7 days of the original purchase date, provided that no more than 30% of the course content has been accessed or downloaded as tracked by our platform. No refunds will be issued after 7 days or if more than 30% of the content has been accessed.

5. Client Responsibilities

Our best results happen when we work as a team. As a client you agree to:

• Provide clear, timely, and comprehensive instructions, information, feedback, and all materials required for us to complete the agreed work — including brand guidelines, logos, account access where required, product details, target audience information, and any other relevant business information

• Respond to requests for feedback or information within 3 business days unless otherwise agreed

• Review deliverables promptly and provide consolidated, specific feedback to keep the project moving forward efficiently

• Attend or reschedule any agreed meetings with reasonable notice

• Ensure that any materials, content, or assets you provide to us do not infringe the intellectual property rights of any third party

• Maintain the confidentiality of any login credentials or platform access details shared with you

Failure to fulfil these responsibilities may result in delays, revised timelines, or additional fees. Where client unresponsiveness extends beyond 30 days, we reserve the right to pause, rescope, or terminate the engagement as set out in Section 9.

6. Intellectual Property

6.1 Content Created for You

Upon receipt of full and final payment for a service, ownership of the final deliverables specifically created for you — including social media captions, Canva templates, website copy, blog posts, and email copy — transfers to you. You are free to use, reproduce, modify, and publish these deliverables for your own business purposes.

6.2 Underlying Materials and Methodologies

Notwithstanding the above, all intellectual property rights in underlying working materials, drafts, frameworks, proprietary processes, methodologies, and general templates used in creating your deliverables remain the property of Bessie Writes Copy. Ownership of final deliverables transfers only upon full and final payment.

6.3 Portfolio and Promotional Use

You agree that Bessie Writes Copy retains the right to reference and display work completed for you — excluding any information you explicitly designate as confidential — in our portfolio, case studies, website, and marketing materials. If you prefer that specific work not be featured publicly, please notify us in writing at the time of project commencement.

6.4 Digital Products and Educational Materials

All content, templates, guides, course modules, videos, and resources produced and sold by Bessie Writes Copy are our exclusive intellectual property. You are granted a limited, non-exclusive, non-transferable licence to use these materials for your own personal or internal business use only. You may not reproduce, resell, redistribute, share publicly, or create derivative works from these materials without prior written consent from Bessie Writes Copy.

6.5 Client-Provided Materials

You warrant that you own or hold the necessary rights and licences for any logos, images, text, data, or other materials you provide to us for use in your project. You agree to indemnify and hold Bessie Writes Copy harmless from any claims, costs, or damages arising from the use of materials provided by you that infringe on the intellectual property rights of any third party.

6.6 FlowSuite Platform

The FlowSuite platform is powered by Go High Level. Intellectual property rights in the underlying platform, software, and technology belong to Go High Level. Your data stored within your FlowSuite sub-account belongs to you. Bessie Writes Copy holds no ownership claim over your client data, contacts, or business information stored on the platform.

7. Confidentiality

We understand that your business information is sensitive and we treat it accordingly. We agree to keep confidential any non-public, proprietary, or sensitive information you share with us during our engagement, using it solely for the purpose of providing services to you. This includes your business plans, financial information, client data, and marketing strategies that are not publicly known.

Equally, you agree to keep confidential any proprietary methods, pricing structures beyond your own agreement, internal processes, and non-public business information of Bessie Writes Copy that you may become aware of through our engagement.

The duty of confidentiality does not apply to information that is already publicly known, is received from a third party without breach of confidentiality, is independently developed by either party, or is required to be disclosed by law or court order.

Confidentiality obligations survive termination of the agreement for a period of two years.

8. Limitation of Liability

While we invest significant expertise and care in every engagement, it is important to understand the limits of our liability.

Bessie Writes Copy will not be held liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, goodwill, data, or business opportunities, resulting from:

• The use of or inability to use our website, services, or products

• Results of digital marketing efforts, which are influenced by factors beyond our control including social media platform algorithm changes, search engine updates, market conditions, competitor activities, and your own business decisions and responsiveness

• Unauthorised access to or alteration of your data or transmissions

• Statements or conduct of any third party in connection with our services

• Platform downtime or technical issues attributable to third-party providers including Go High Level

Our total liability to you for any claim arising from these Terms and Conditions or the services provided shall not exceed the total amount paid by you to Bessie Writes Copy in the three months preceding the event giving rise to the claim.

9. Cancellation and Termination

9.1 Cancellation by the Client — Monthly Services

You may cancel a monthly recurring service (Content Flow System, FlowAssist, or FlowSuite subscription) by providing written notice to [email protected] before your next billing date. Cancellation takes effect at the end of the current billing cycle. No partial refunds are issued for the current billing period.

9.2 Termination of Project-Based Work

Either party may terminate a project-based engagement by providing 14 days written notice. Upon termination you agree to pay for all work completed to the date of termination. Any outstanding invoices become immediately due and payable.

9.3 Termination by Bessie Writes Copy

We reserve the right to terminate any engagement immediately and without notice if you:

• Breach any material term of these Terms and Conditions or your service agreement

• Fail to make payments as agreed

• Engage in conduct that is abusive, threatening, or harmful to Bessie Writes Copy, our team, or our reputation

• Provide false or misleading information in connection with your engagement

In such cases all outstanding payments remain due and payable immediately.

9.4 FlowSuite Termination

Upon cancellation or termination of a FlowSuite subscription you have 14 days to export your data from your sub-account. After this period the sub-account will be deactivated and data may no longer be accessible. Bessie Writes Copy is not liable for data loss resulting from failure to export data within this period.

9.5 Survival

Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Governing Law, Severability, and Waiver survive termination of any agreement. All outstanding payments remain due following termination.

10. Dispute Resolution

In the event of a dispute arising from these Terms and Conditions or any service agreement, both parties agree to first attempt to resolve the matter amicably through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days of written notice of the dispute, either party may escalate the matter to mediation before pursuing litigation.

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes not resolved through negotiation or mediation will be subject to the jurisdiction of the courts of South Africa.

11. SMS Communications

By providing your phone number and consenting to SMS communications from Bessie Writes Copy, you agree to receive text messages related to your enquiry, service delivery, and where separately consented, marketing communications. You may opt out at any time by texting STOP. Standard message and data rates may apply. Full details are set out in our Privacy Policy.

12. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. Changes will be effective upon posting to this page with the Last Updated date revised accordingly. For material changes that significantly affect your rights or obligations, we will provide notice via our website or by email to current clients. Your continued use of our website or services after changes are posted constitutes your acceptance of the updated terms.

13. Disclaimer of Warranties

Our website, services, and products are provided on an as-is and as-available basis without warranties of any kind, either express or implied. Bessie Writes Copy disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website or services will be uninterrupted, error-free, or completely secure.

14. Indemnification

You agree to indemnify, defend, and hold harmless Bessie Writes Copy (Pty) Ltd, its founder, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses including reasonable legal fees arising from your use of our website, services, or products; your breach of these Terms and Conditions; your violation of any third-party rights including intellectual property rights; or any content or materials you provide to us.

15. Severability

If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be severed from these terms and the remaining provisions will continue in full force and effect.

16. Waiver

No failure or delay by Bessie Writes Copy in exercising any right under these Terms and Conditions shall constitute a waiver of that right. A waiver of any specific breach does not constitute a waiver of any subsequent breach of the same or any other provision.

17. Entire Agreement

These Terms and Conditions, together with any Proposal or Service Agreement entered into between you and Bessie Writes Copy, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior discussions, representations, and agreements whether written or oral.
